JTPAでは、モリソン・フォースター法律事務所のShoji Aki弁護士とJohn Hou弁護士
をお招きし、オープンソース開発と知的財産権についてお話いただきました。


今回のレポートは、ソフトウェアエンジニアとしてご活躍中の松原晶子さんにお願いしました。
セミナーでは参加者から積極的にたくさんの質問があがり、みなさんの興味関心の高さがうかがえました。

オープンソースライセンスの種類には多数あるが、最も普及しているのがGPL (GNU Public License)と呼ばれるもの。日本語では「GNU 一般公衆利用許諾契約書」。今回のセミナーでJohn Hou弁護士は、特にこのGPLに焦点をあてて講義をされた。
企業がオープンソースを利用する場合、非常に神経質になるのはGPLで公開されているもの。不注意にGPLのオープンソースを使用してソフトウェアを作成してしまった場合、企業はそのソフトウェアに独自のライセンスをつけて利潤を追求することができなくなってしまうからだ。
GPLの適用されているオープンソースは、誰でも無償で使用することができる。しかし、GPLのソースコードを組み込んでソフトウェアを作成した場合、組み込んだ部分だけでなくそのソフトウェア全体をGPLのオープンソースとして公開せねばならない。この規則は、GPL のオープンソースを無修正で使用した場合のみならず、修正して使用した場合にも適用される。
GPLのオープンソースを直接コードの一部に組み込んで利用するのではなく、それがライブラリとなっているものにリンクして利用する場合に状況は複雑になる。GPL のライブラリがスタティックライブラリであるかダイナミックライブラリであるかによっても規則の適用の見解に相違があり、著作権法(copyright law)にもとずく判断では、ライブラリがアプリケーションにコンパイルおよびリンクされて出荷されるスタティックライブラリの場合は、そのアプリケーションにライセンスを付与して利潤を追求するのは”perhaps yes” 。一方、シンボルへのリファレンスをしても、ライブラリ自体はアプリケーションにコンパイルされずランタイムにリンクされるダイナミックライブラリの場合は”clearly yes”であるという。FSF(フリーソフトウェア財団、 http://www.fsf.org)はいずれの場合も”no”とみなし、論争の的となっている。
さらに、FSFの主張するところでは、特許のついた技術がアプリケーションで使用されており、そのアプリケーションがGPLのライブラリの関数を呼び出す場合、そのアプリケーションはGPLであり、そのソースコードを使用する者すべてに特許技術に対するライセンスを付与すべきだとしている。
以上のように、非常に規則の厳しいのがGPL。ちなみに、もう少し条件の緩和されたライセンスにはBSD(Berkeley Source Distribution)がある。例えば、BSDのソースを使用して開発したアプリケーションのソースコードは公開しなくてもよく、オリジナルのライセンスを明示する限り修正したコードに独自のライセンスをつけて公開できる。
企業がGPLのオープンソースを使用する場合、開発者が書面による許可を法務部に提出することを義務付けるなど、慎重に行動する必要がある。

Ms. Shoji is Of Counsel in the Corporate Department of Morrison & Foerster in Palo Alto, and engages in a broad-based corporate and transactional business practice. She regularly advises and represents companies on formation issues, financing, mergers and acquisitions, and other business and operational matters including immigration issues. She has extensive experience working on a variety of cross-border transactions (primarily involving Japanese parties), including strategic investments, intellectual property licensing, distribution arrangements and acquisitions. She also has experience in handling public offerings, and SEC filings for public companies.
John C. Hou

Mr. Hou is a partner in the Palo Alto office of Morrison & Foerster and a member of the firm痴 Technology Transactions Group. His practice is concentrated on structuring, negotiating and documenting transactions involving intellectual property and information technology, primarily for clients in the software, semiconductor, Internet and telecommunications industries.
Mr. Hou has worked on numerous transactions involving the licensing, distribution and development of computer software. He has represented such companies as BEA Systems, Netscape, Time Warner and Konami of America, and has worked on deals involving virtually all major software vendors in the U.S.
Mr. Hou has also represented various semiconductor companies, including semiconductor core companies, tool and equipment manufacturers, ASIC design firms and integrated circuit vendors, on transactions relating to the development, licensing and commercialization of semiconductor-related technology and intellectual property. He has worked with such clients as Fujitsu, Nikon, Novellus and Altera.
Mr. Hou also has broad experience assisting clients with intellectual property and transactional issues related to the Internet. He has represented companies from all segments of the Internet community, including web site operators, Internet service providers, web developers, systems integrators, web hosting and community providers, software and hardware vendors, and content providers. Mr. Hou has also done infrastructure work for companies such as Verio and Qwest Communications.
